Result of AGM

CPPGroup Plc (CPP or the Group) is an international assistance business operating in the UK and overseas within the financial services, telecommunications and travel sectors.

CPP held its Annual General Meeting for shareholders at midday on 16 June 2014 and confirms that all resolutions proposed and set out in the Notice of Meeting were duly passed. Details of the proxy votes cast for each resolution are available on the Company's website www.cppgroupplc.com.

In accordance with Listing Rule 9.6.2 a copy of the special business resolutions (resolutions 10 to 14 inclusive) passed at the Meeting have been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do or www.morningstar.co.uk.]
