Result of General Meeting of Shareholders

CPPGroup Plc (the "Company"), the international assistance business, announces that all resolutions proposed to Shareholders at its General Meeting held earlier today were duly passed.

The resolutions, proposed in a requisition notice served on the Company on 18 March 2016 by Schroder Investment Management Limited ("Schroders"), called for four Directors of the Company (being Stephen Callaghan, Chief Executive Officer; Roger Canham, non-executive Chairman; Shaun Astley-Stone, non-executive director; and Abhai Rajguru, non-executive director) to be removed from the Board of Directors of the Company, and that Sir Richard Douglas Lapthorne, Nicholas Ian Cooper and Mark William Hamlin be appointed to the Company's Board.

Following the result of today's General Meeting, the above-mentioned changes to the CPPGroup Board of Directors become effective immediately.  Further appointments to the Board will be made in due course.
