Publication of the total number of voting rights and share capital of ORCO PROPERTY GROUP S.A. as of 31 May 2012.

In accordance with the Law of 11 January 2008 and Regulation of the Grand-Duchy of 11 January 2008 relating to the transparency obligations of issuers of securities, Orco Property Group S.A., having its registered office 42 rue de la Vallée, L-2661 Luxembourg, Grand-Duchy of Luxembourg, registered with the Luxembourg trade and companies register under number B44996 and registered with the CSSF under issuer's number E-0031 (the "Company") hereby publishes the total number of voting rights and share capital of the Company as of 31 May 2012:

Total number of shares composing the share capital of the Company:

35,415,406 shares;

Total number of voting rights attached to the shares composing the share capital of the Company:

35,415,406 voting rights;

Origin of the change and date when the change occurred:

Capital increase and issue of 18,361,540 new ordinary shares on 14 May 2012 as a first payment of the Obligations Convertibles en Actions (ISIN XS0741974009) issued by the Company on 9 May 2012 against the contribution of approximately 84.5% of the Orco Germany bonds (ISIN XS0302623953). The Company's share capital has increased from EUR 69,920,850.60 represented by 17,053,866 shares to EUR 145,203,164.60 represented by 35,415,406 shares.
