Foncière des Régions' General Meeting adopts the new governance structure announced on 15 November 2010

At Foncière des Régions' General Meeting today, and the following Board of Directors meeting, the new governance structure announced on 15 November 2010 was adopted.

The main features of this governance are as follows:

• Adoption of the system for companies with a Board of Directors
• Separation of functions for the Chairman of the Board of Directors and the Chief Executive Officer, performed respectively by Jean Laurent and Christophe Kullmann
• Strengthening of the number of independent directors, who now make up 40% of the Board of Directors, whose 10 members are as follows:
• Jean Laurent*
• ACM Vie, represented by Catherine Allonas Barthe
• Aterno, represented by Romolo Bardin
• Jean-Luc Biamonti*
• GMF Vie, represented by Lionel Calvez
• Bertrand de Feydeau*
• Leonardo Del Vecchio
• Sergio Erede
• Predica, represented by Jérôme Grivet
• Pierre Vaquier*

Appointment of an observer, Nicolas Ruggieri

The bylaws of Foncière des Régions and the make-up of the various Board of Directors committees have therefore been amended and may be referred to on the Foncière des Régions website (http://www.foncieredesregions.fr/Profil/Gouvernance).

Lastly, the Board of Directors hasappointed Olivier Estève and Aldo Mazzocco as Deputy General Manager, and Yan Perchet as Advisor to the Chairman.
