Resignation of Director

On July 15, 2022, Justine Tan resigned from her position as a member of the board of directors (the “ Board ”) of Coty Inc. (the “ Company ”). Ms Tan resigned to pursue opportunities beyond JAB Holding Company S.à r.l., where she previously served as a Partner, and which together with certain of its affiliate entities, beneficially owns a majority stake in the Company. Ms. Tan’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
