Item 2.02 Results of Operations and Financial Condition

On May 7, 2015 , Coty Inc. (the “Company”) issued a press release announcing its financial results for its fiscal quarter ended March 31, 2015 . The release also includes forward-looking statements about the Company’s outlook for the fiscal year ending June 30, 2015. A copy of the press release is attached as Exhibit 99.1 and is incorporated in this report by reference.
