Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

CoStar Group, Inc. (“CoStar” or the “Company”) announced that as of October 4, 2013, Jennifer Kitchen, the Company’s Senior Vice President of Research, is transitioning from that operating role to serve as Director of Research Integration. The Company’s U.S. research operations will now report to Frank Carchedi, the Company’s Executive Vice President of Operations.
