Costain Group PLC ("Costain" or the "Company")

Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

This announcement is made in accordance with DTR 3.1.4(1)(a).

On 3 April 2013, awards were granted under the Costain Deferred Bonus Share Plan (the "Plan") to certain directors of Costain Group PLC (the "Company").

The awards granted under the Plan are structured as follows:

·      options with a nil exercise price over a number of shares ("Deferred Award");

·      options with a nil exercise price over a fixed value of shares, which is granted in combination with an HMRC approved market value option ("Combined Deferred Award"); and

·      HMRC approved market value options over a fixed number of shares ("Option").

Following the completion of the Capital Raising announced by the Company on 27 February 2014, and pursuant to the rules of the Plan, the remuneration committee of the board of directors of the Company has determined that certain adjustments should automatically be made to the number of shares under the awards and, where relevant, the Option price per share.  Where required, the adjustments have been approved by HM Revenue & Customs.  Details of the adjustments in respect of awards held by certain directors of the Company are set out below.
