Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

Costain Group PLC announces that following the publication of the Company's combined circular and prospectus on 7 May 2020 (the "Prospectus"), the Directors have each subscribed for, and have today, 29 May 2020, had issued to them, ordinary shares in the capital of the Company under the terms of the Firm Placing and at the issue price of 60 pence per ordinary share. Unless otherwise defined, terms used in this announcement shall have the same meaning as set out in the Prospectus.           

Each Director's beneficial interest in the ordinary shares of the Company is set out in the table below.

* In accordance with the Company's Share Ownership Guidelines, Tony Bickerstaff has an interest in an additional 23,297 ordinary shares, relating to the awards made in 2016 under the Company's Long Term Incentive Plan. These are no longer subject to performance criteria and are exercisable from 2021, giving a total beneficial interest of 407,480 ordinary shares when aligned with the disclosure in the 2019 Annual Report (page 107).
