Dealings in Costain Shares

Costain Group PLC ("the Company") announces that on 2 May 2019, Mr Roger Andrews, being the spouse of Ms Jacqueline de Rojas, Non-executive Director, acquired 1,201 ordinary shares of 50 pence each in the Company ("Ordinary Shares") at 332.78 pence per share, representing 0.001% of the Company's issued share capital, to be registered in his own name. Following the share purchase, the total beneficial interest of Ms Jacqueline de Rojas and persons closely associated with her in Ordinary Shares totals 4,395 shares, representing 0.004% of the Company's issued share capital.

Also on 2 May 2019, Mr Roger Andrews instructed the transfer of his existing shareholding of 3,194 Ordinary Shares held in a nominee account into a share certificate in his own name for nil consideration. This transfer resulted in no change to his beneficial ownership.
