TRANSACTION IN SHARES BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMR")

Costain Group PLC announces that options to subscribe for ordinary shares with a nominal value of 50 pence each in the capital of the Company (the "Shares"), granted to eligible employees on 11 October 2011 under the Costain Group PLC employee savings related share option scheme, matured with effect from 01 November 2014 and that the following Executive Director of the Company (being a PDMR) has exercised his options as follows:
