Material Disclosure

Mozelos, October 24, 2018 – In compliance with line a) paragraph 1 of article 248 of the Portuguese Securities Code, CORTICEIRA AMORIM, S.G.P.S., S.A. ("CORTICEIRA AMORIM") informs the general public and, in particular, its shareholders, that:

    1. CORTICEIRA AMORIM, through its subsidiary AMORIM FLORESTAL, SA ("AMORIM FLORESTAL"), the sub-holding company of the Group's Raw Materials Business Unit, has entered into an agreement to acquire 100% of Cosabe - Companhia Silvo-Agrícola da Beira, SA, headquartered in Lisbon, whose main asset is a forest property named Herdade da Baliza, located in the Castelo Branco/International Tagus area (Portugal), having a total area of 2,866 hectares ("Herdade da Baliza"), for a total amount €5.5 million.
    1. In close partnership with forestry producers, research institutions and local political bodies, Amorim Florestal is engaged in a forestry intervention project aimed at ensuring the maintenance, preservation and improvement of cork oak forests and, consequently, the continuous production of quality cork. In this way, Amorim Florestal has accumulated extensive scientific and technical knowledge on new agricultural practices with a high potential for the development and increased productivity of the cork oak.
    1. As part of this project, AMORIM FLORESTAL plans to develop an "Intensive Cork Oak Plantation" at Herdade da Baliza, using intensive production methods and fertigation, increased density of cork oaks per hectare and accelerated growth rate of the trees, thus significantly reducing the time required for them to begin producing cork.
    1. The Group believes this investment, the first by the CORTICEIRA AMORIM in forest property, will make a valuable contribution to establishing montados (cork oak plantations) as sustainable and profitable investments, from now, also for the generation that plant them.
