What are we offering?
| Securities: | Up to 6,000,000 charity flow-through units of the Company that qualify as “flow-through shares” (within the meaning of subsection 66(15) of the Income Tax Act (Canada)) (the “CFT Units”) for gross proceeds up to $4,500,000 (the “Offering”).
Each CFT Unit will be sold at a price of $0.75 per CFT Unit and will be comprised of one charity flow-through share of the Company that qualify as “flow-through shares” (within the meaning of subsection 66(15) of the Income Tax Act (Canada)) (each, a “CFT Share”) and one common share purchase warrant (each, a “CFT Warrant”). Each CFT Warrant will entitle the holder thereof to purchase one common share of the Company (each, a “CFT Warrant Share”) at a price of $0.85 for a period of 24 months following the issue date. |

| Significant Attributes: | The Company will use an amount equal to the gross proceeds received by the Company from the sale of the CFT Units, pursuant to the provisions in the Income Tax Act (Canada), to incur eligible “Canadian exploration expenses” that qualify as “flow- through mining expenditures” as both terms are defined in the Income Tax Act (Canada) (the “Qualifying Expenditures”) related to the Company’s Blue Property in Atlin, British Columbia, on or before December 31, 2026, and to renounce all the Qualifying Expenditures in favour of the subscribers of the CFT Units effective December 31, 2025. In the event the Company is unable to renounce Qualifying Expenditures effective on or prior to December 31, 2025 for each CFT Unit purchased in an aggregate amount not less than the gross proceeds raised from the issue of the CFT Units, the Company will indemnify each CFT Unit subscriber for the additional taxes payable by such subscriber as a result of the Company’s failure to renounce the Qualifying Expenditures as agreed.
The CFT Units will sold on a structured flow-through share financing basis whereby the Company will issue the CFT Units to an agent for one or more disclosed principals. The CFT Units will then immediately be sold to one or more back end buyers (the “End Buyers”). |

Core Silver Corp. is conducting a listed issuer financing under section 5A.2 of National Instrument 45-106 Prospectus Exemptions. In connection with this offering, the Company represents the following is true:
- The Company has active operations and its principal asset is not cash, cash equivalents or its exchange listing.
- The Company has filed all periodic and timely disclosure documents that it is required to have filed.
- The Company is relying on the exemptions in Coordinated Blanket Order 45-935 Exemptions from Certain Conditions of the Listed Issuer Financing Exemption (the “Order”) and is qualified to distribute securities in reliance on the exemptions included in the Order.

SUMMARY DESCRIPTION OF BUSINESS
What is our business?
The Company is an exploration stage company and is engaged principally in the acquisition and exploration of mineral properties in British Columbia and other jurisdictions. The Company's sole exploration property is its 100% owned "Blue" property (the "Blue Property"), which covers a land area of 114,074 hectares (∼1,140 km²) located within the Atlin Mining District in British Columbia.

The Company does not hold any interests in producing or commercial mineral deposits. The Company has no production or other material revenue. Commercial development of any kind will only occur in the event that sufficient quantities of mineral resources containing economic concentrations of minerals are discovered. If, in the future, a discovery is made, substantial financial resources will be required to establish mineral resources and/or mineral reserves. Additional substantial financial resources will be required to develop mining and processing facilities for any mineral resources and/or mineral reserves that may be discovered. If the Company is unable to finance the establishment of mineral reserves or the development of mining and processing facilities it may be required to sell all or a portion of its interest in such property to one or more parties capable of financing such development.
Recent developments
On August 6, 2025, the Company announced that it had completed a previously announced non-brokered private placement of units, pursuant to which the Company issued an aggregate of 8,000,000 units at $0.25 per unit for gross proceeds of $2,000,000.
On July 2, 2025, the Company announced that it had completed a non-brokered private placement of 5,410,000 non-flow-through units (the "July NFT Units") issued at a price of $0.20 per July NFT Unit for gross proceeds of $1,082,000.
On July 2, 2025, the Company announced that it had completed a non-brokered private placement of 800,000 flow-through units (the "July FT Units") issued at a price of $0.25 per July FT Unit for gross proceeds of $200,000.
On May 30, 2025, the Company announced the effective date of a share consolidation and name change, which was previously announced on May 27, 2025. Effective at the opening of the market on June 4, 2025, the Company changed its name from "Core Assets Corp." to "Core Silver Corp." (the "Name Change") and consolidated its issued and outstanding shares on the basis of one (1) new common share for every ten (10) old common shares (the "Consolidation"). On the effective date of the Consolidation, the Company's issued and outstanding shares totaled 12,710,565.
On May 27, 2025, the Company announced the proposed Name Change and Consolidation and the initial terms of a proposed non-brokered offering of 800,000 flow-through units at a price of $0.25 per flow-through unit, 3,990,000 charity flow-through units at a price of $0.33 per charity flow-through unit and 1,410,000 non-flow-through units at a price of $0.20 per non-flow-through unit, which terms were amended pursuant to a news release dated June 6, 2025.
On February 18, 2025, the Company announced an updated 3-D geologic model and review of certain historic assay results from its Laverdiere copper project, located on the eastern portion of the Blue Property.
On January 21, 2025, the Company announced the results of its 2024 rock sampling campaign at the Blue Property.
On November 19, 2024, the Company announced the results of the Company's 2024 diamond drilling campaign at the Silver Lime Project at the Blue Property.
On September 10, 2024, the Company announced an update to its drilling campaign at the Silver Lime Project at the Blue Property.

Funds from the Offering will be used for exploration at the Company's Blue Property located in the Atlin Mining District in British Columbia, Canada. The primary expenditures at the Blue Property will be comprised of an expansion on diamond drilling at the Silver Lime and Laverdiere projects. Ground reconnaissance at Laverdiere and Silver Lime, including geological mapping and soil sampling. Regional reconnaissance work on the remainder of the Blue Property.

On July 2, 2025, the Company closed a non-brokered private placement of 5,410,000 July NFT Units issued at a price of $0.20 per July NFT Unit for gross proceeds of $1,082,000. The net proceeds raised from the issuance of the July NFT Units will be used for general working capital purposes.
On July 2, 2025, the Company closed a non-brokered private placement of 800,000 July FT Units issued at a price of $0.25 per July FT Unit for gross proceeds of $200,000. The gross proceeds raised from the issuance of the July FT Units will be used by the Company to incur Qualifying Expenditures on the Company’s Blue Property.

On August 6, 2025, the Company closed a non-brokered private placement of 8,000,000 units (the “August Units”) issued at a price of $0.25 per August Unit for gross proceeds of $2,000,000. The net proceeds raised from the issuance of the August Units will be used for exploration activity on the Company’s Blue Property and for general working capital purposes.
