Item 2.02 Results of Operations and Financial Condition.

On May 7, 2009, Core Molding Technologies, Inc. (the "Company") announced results for the three months ended March 31, 2009. A copy of the press release announcing this event is included in this form 8-K as Exhibit 99(a).

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 6, 2009, the independent members of the Board of Directors (the "Board") of Core Molding Technologies, Inc. ratified and approved a voluntary 15% temporary reduction in the annual base salary in effect for the Company’s named executive officers as of January 1, 2009, with such temporary reduction effective April 20, 2009. The voluntary reductions will remain in effect until such time as the independent members of the Board ratify and approve reinstating salaries to their original levels. In addition, the Board agreed to temporarily reduce the quarterly board fees paid to non-employee directors by 15% effective April 1, 2009.
