Item 1.01 Entry into a Material Definitive Agreement.

On May 11, 2010, Core Molding Technologies, Inc. (the "Company") and its affiliate, Corecomposites de Mexico, S. DE R.L. DE C.V., entered into a fifth amendment (the "Fifth Amendment") to that certain Credit Agreement, dated as of December 9, 2008, with KeyBank National Association as a lender, lead arranger, sole book runner and administrative agent (the "Credit Agreement"). Pursuant to the terms of the Fifth Amendment, the parties agreed to modify certain terms of the Credit Agreement. These modifications included (1) decrease in the applicable margin for interest rates to 275 basis points from 375 basis points for the Capex and Mexican loans and the revolving line of credit, effective May 11, 2010 and (2) the extension of the commitment for the revolving line of credit to April 30, 2012. The foregoing description is qualified in its entirety by reference to the Fifth Amendment, a copy of which is attached to this Form 8-K as exhibit 10.1 and is incorporated herein by reference.
