Notice under section 708A(5)(e) of the Corporations Act 2001
This notice is given by Core Lithium Ltd (ABN 80 146 287 809) (the Company) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act).
The Company has issued 320,348,255 fully paid ordinary shares (Shares) at an issue price of A$0.21 per Share following shareholder approval (at the Company's general meeting held on 5 May 2026) of Tranche 2 of the Company's share placement and the participation of certain Directors on the same terms as Tranche 2 of the share placement, as first announced on 18 March 2026. For further information please refer to the Company's Notice of Shareholder Meeting announced on ASX on 2 April 2026, together with the Company's ASX announcements titled "FID Approved and Funding Secured for Finniss Restart" dated 18 March 2026 and "$120 Institutional Placement Supports Finniss FID" dated 19 March 2026.
The Company advises that:
(a) the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;
(b) this notice is being given under section 708A(5)(e) of the Corporations Act;
(c) as a disclosing entity, the Company is subject to regular reporting and disclosure obligations;
(d) as at the date of this notice, the Company has complied with:
i. the provisions of Chapter 2M of the Corporations Act, as they apply to the Company; and
ii. section 674 and section 674A of the Corporations Act; and
(e) as at the date of this notice, there is no information that is "excluded information" within the meanings of sections 708A(7) and 708A(8) of the Corporations Act.
This announcement has been approved for release by the Core Lithium Ltd Board.
