CORAZON MINING LIMITED

Placement of Options and Notice under Section 708A(5)(e)

Corazon Mining Limited ( Company ) announced the completion of a placement of shares on 13 February 2020 ( Placement ). It was announced that participants in the Placement will also be issued one (1) attaching Listed CZNO Option for every share subscribed for and issued, subject to shareholder approval. Shareholder approval was obtained at a shareholder meeting held on 8 April 2020 ( Meeting ) to issue 321,582,138 Listed CZNO Options. The Listed CZNO Options are exercisable at $0.007 each on or before 10 July 2022.

In addition the Company sought and obtained shareholder approval at the Meeting to issue 20,000,000 Listed CZO Options to Sanlam Private Wealth Pty Ltd (or its nominees) who assisted with the Placement.

Corazon gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 ( the Act ) that:

• a) the Company issued 341,582,138 Listed CZNO Options;

• b) the Listed CZNO Options were issued without disclosure to investors under Part 6D.2 of the Act;

• c) as at the date of this notice, the Company, has complied with:

  • i) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • ii) section 674 of the Act; and

• d) as at the date of this notice, there is no information to be disclosed which is excluded information (as defined in section 708A(7) of the Act) that is reasonable for investors and their professional advisers to expect to find in a disclosure document.
