Transaction Structure: Commercially reasonable efforts initial public offering under a long form prospectus filed in each of the Qualifying Jurisdictions (as defined below). Qualifying & Selling The Shares will be eligible for offer and sale in the Provinces of British Columbia, Alberta, and Jurisdictions: Ontario.
