Singapore Reseller Agreement

Control Bionics (ASX:CBL), a global assistive technology company specialising in speech generating devices, has entered into a reseller agreement with DNR Wheels Pte Limited, a leading distributor in Singapore of mobility, homecare and rehabilitation equipment and technology.

The Singapore reseller agreement follows the US reseller agreement entered into with Numotion which was announced to the ASX on 7 April 2021.

This agreement is in line with Control Bionics' growth strategy to access the international rehabilitation market and reinforces its commitment to provide industry-leading solutions with access to all.

The material terms of the reseller agreement are as follows:

1. DNR Wheels is appointed as an exclusive reseller of Control Bionics’ products in Singapore.

2. There are no minimum purchase requirements by DNR Wheels.

3. DNR Wheels will place orders for Control Bionics products, the price being set out in the reseller agreement. Payment terms are 30 days from the date of placing the order.

4. The reseller agreement will continue until terminated in accordance with the terms of the agreement. Either party may terminate the reseller agreement without cause upon providing six months written notice with the effective date being any date after the second anniversary of commencement. The other termination clauses are the standard clauses expected in a commercial agreement of this kind.

5. There are no conditions precedent in the reseller agreement.
