PROFIT WARNING

This announcement is made by ContiOcean Environment Tech Group Co., Ltd. (上海匯鰍環保科技集團股份有限公司) (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board of directors of the Company (the "Board") wishes to inform shareholders of the Company (the "Shareholders") and potential investors that, based on the preliminary assessment of the information currently available (including the latest unaudited consolidated management accounts of the Group for the year ended 31 December 2025 (the "Reporting Period")), the Company is expected to record a net profit in the range of approximately RMB18.0 million to RMB26.0 million for the Reporting Period as compared to a net profit of approximately RMB120.3 million for the year ended 31 December 2024. The anticipated decrease in net profit was mainly due to (1) impacts on China's shipbuilding and shipping industries resulting from geopolitical tensions and tariff-induced market volatility; and (2) many new orders secured in 2025 are predominantly long-cycle in nature, and accordingly the relevant orders have not been completed and the associated revenue has not been recognized during the Reporting Period.

Notwithstanding these challenges, the Company has proactively implemented strategies to mitigate the adverse impact. These efforts include accelerating expansion into new markets and expediting the development of and collaboration on new products tailored to potential demand.

As at the date of this announcement, the Company is still in the process of preparing and finalizing the audited consolidated results of the Group for the year ended 31 December 2025. The information contained in this announcement is only based on the Company's preliminary assessment of the information currently available to the Board, including the latest unaudited consolidated management accounts of the Group for the year ended 31


December 2025, which have not been reviewed or confirmed by the Company's audit committee; or reviewed, confirmed or audited by the auditor of the Company, and are subject to finalization and other possible adjustments (if any). Accordingly, there may be discrepancies between the abovementioned information and the actual results of the Company for the year ended 31 December 2025. Shareholders and potential investors of the Company are advised to read carefully the Company's annual results announcement for the year ended 31 December 2025 that is expected to be published by the Company by the end of March 2026.
