Exercise of Warrants

Contango Holdings Plc, the London listed natural resource development company, announces that it has received notices to exercise warrants for 7,333,329 ordinary shares ("Ordinary Shares"), for which funds of £303,333.13 have been received (the "New Shares").  An application has been made for the New Shares to be admitted to the official list and to trading on the London Stock Exchange with effect from 8.00 a.m. on 4 November 2021 ("Admission").

Expiration of Warrants

The Company issued warrants during its initial listing as an investment company ("IPO Warrants") in November 2017 that have now expired with effect from today.  The Company has raised a total of £1.025 million from the exercise of the IPO Warrants during 2021 which supports the ongoing work programmes at the Lubu Coking Coal Project and the Garalo-Ntiela Gold Project.

The only warrants that remain outstanding are 3,200,000 broker warrants granted to Brandon Hill Capital in October 2020 during a capital raise. The warrants are exercisable at 5p and expire on 19 October 2023.

Total Voting Rights

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms that following Admission, the Company's enlarged issued ordinary share capital will comprise 267,758,266 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the above figure may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.
