Ref. Hecho relevante – Convocatoria a Asamblea General Ordinaria y Extraordinaria de Accionistas.

De nuestra mayor consideración,

Quien suscribe, en su carácter de Responsable de Relaciones con el Mercado de CONSULTATIO S.A. (la "Sociedad"), se dírige a Uds. a efecto de informaries que el Directorio de la Sociedad ha decidido convocar a los señores accionistas de Consultatio S.A. a una Asamblea General Ordinaria y Extraordinaria de Accionistas a celebrarse el día 27 de abril de 2020, a las 11:00 horas, en primera convocatoria y para el mismo día a las 12:00 horas, en segunda convocatoria, para el caso de no obtenerse quórum en la primera convocatoria. En caso de no reunirse el quórum necesario para sesionar como Asamblea Extraordinaria para tratar los puntos 10 a 13 del Orden del Día, la misma será convocada en segunda convocatoria con posterioridad. La Asamblea tendrá lugar en la sede social, sita en Av. Leandro N. Alem 815, piso 12°, sector "B", de la Ciudad Autónoma de Buenos Aires, para tratar el siguiente Orden del Día:

1) Designación de dos accionistas para confeccionar y firmar el acta de la asamblea, juntamente con el Presidente de la Asamblea.

2) Consideración de la memoria, estados financieros, información complementaria y demás información contable, informe de la Comisión Fiscalizadora e informes de los auditores correspondientes al ejercicio económico Nº 39 finalizado el 31 de diciembre de 2019.

3) Aprobación de la gestión del Directorio.

4) Aprobación de la gestión de la Comisión Fiscalizadora.

5) Consideración de los resultados del ejercicio económico N° 39, finalizado el 31 de diciembre de 2019.

6) Remuneración del Directorio por el ejercicio económico finalizado el 31 de Diciembre de

2019.

7) Consideración de las remuneraciones a la Comisión Fiscalizadora correspondientes al ejercicio económico finalizado el 31 de diciembre de 2019.

8) Determinación del número de integrantes del Directorio y elección de los directores que correspondiere en consecuencia, por un período de un año.

9) Elección de tres síndicos titulares y tres síndicos suplentes para integrar la Comisión Fiscalizadora, por un período de un año.
