In compliance with the relevant circulars issued by the Ministry of Corporate Affairs from time to time, the Postal Ballot Notice is being sent by electronic mode only to those Members whose names appear in the Register of Members / List of Beneficial Owners and whose e-mail addresses are registered with the Registrar and Share Transfer Agent of the Company i.e. M/s. The Company has engaged the services of NSDL for facilitating remote e-voting to enable the Members to cast their votes electronically. The remote e-voting on the resolution set out in the Postal Ballot Notice shall commence on Saturday, 23rd May, 2026 at 09:00 A.M. (IST) and shall end on Sunday, 21st June, 2026 at 05:00 P.M. (IST).

NOTICE OF POSTAL BALLOT AND E-VOTING
Dear Members,
Notice is hereby given pursuant to Section 108, 110 and other applicable provisions, if any, of the Companies Act, 2013 ("the Act") read together with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014 ("the Rules") (as amended from time to time), including any statutory modification(s) or re-enactment(s) thereof for the time being in force, Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended from time to time) ("SEBI (LODR) Regulations"), Secretarial Standard-2 ("SS-2") issued by the Institute of Company Secretaries of India on General Meetings ("SS-2") and the clarifications issued by Ministry of Corporate Affairs vide General Circular No. 14/2020 dated 8th April, 2020, 17/2020 dated 13th April, 2020 read with other relevant circulars, including Latest General Circular No. 03/2025 dated September 22, 2025 issued by the Ministry of Corporate Affairs ("MCA") (hereinafter collectively referred to as "MCA Circulars"), and subject to other applicable laws, rules and regulations, if any, Consecutive Commodities Limited (Formally Known as Consecutive Investments & Trading Company Limited) ("the Company") hereby seeks your approval for the Special Business as considered in the Resolution(s) appended below through Postal Ballot by only way of voting through electronic means ("remote e-voting").
A detailed Statement pursuant to Section 102 and other applicable provisions, if any, of the Act, pertaining to the Resolution(s) appended below setting out the material facts and reasons thereof, is appended to this Postal Ballot Notice. This Postal Ballot Notice is also being placed on the website of the Company at www.consecutiveinvestments.com.
In compliance with the aforesaid MCA Circulars and pursuant to Section 110 of the Act read with the relevant rules made thereunder, this Postal Ballot Notice is being sent only through electronic mode to those Members whose e-mail addresses are registered with the Company/ RTA/ Depositories/ Depository Participants and the communication of assent/ dissent of the Members on the Resolution(s) proposed will take place through the remote e-voting system only. If your e-mail address is not registered with the Company/ RTA/ Depositories/ Depository Participants, please follow the process provided in the Notes to receive this Postal Ballot Notice.
In compliance with the requirements of the MCA Circulars, hard copy of this Postal Ballot Notice along with Postal Ballot Forms and pre-paid business envelope will not be sent to the Shareholders and hence the Shareholders are requested to communicate their assent or dissent through remote e-voting system only.
Pursuant to Rule 22 (5) & (6) of the Rules, the Board of Directors of the Company at their meeting held on 22nd May, 2026, had appointed CS Jay Pandya, Proprietor of M/s. Jay Pandya & Associates, Company Secretaries, Ahmedabad (Membership No. ACS 63213 and Certificate of Practice No. 24319), to act as the Scrutinizer, to conduct the Postal Ballot through remote e-voting process in a fair and transparent manner.
The Company has engaged the services of National Securities Depository Limited ('NSDL') to provide remote e-voting facility to the Members of the Company. Please refer to the instructions for e-voting given hereinafter the proposed Resolution(s), to cast votes through electronic voting means.
The remote e-voting period commences from 09.00 AM (India Standard Time ['IST']) on Saturday, 23rd May, 2026 and ends at 05.00 P.M. (IST) on Sunday, 21st June, 2026. Members are requested to read the instructions carefully while expressing their assent or dissent and cast votes via remote e-voting facility by not later than 05.00 P.M. (IST) on Sunday, 21st June, 2026.
The Scrutinizer shall submit his report to the authorised Director of the Company, or any other person authorized by him upon completion of the scrutiny of the votes cast through remote e-voting. The results of the Postal Ballot e-voting will be announced within Two working days from the conclusion of the e-voting and the same shall be displayed on the website of the Company at https://consecutiveinvestments.com/, and on website of NSDL at www.nsdl.co.in. and the same will be communicated to BSE Limited (BSE) and Calcutta Stock Exchange Limited (CSE), being the stock exchange where the equity shares of the Company are listed.
In the event, the Resolution as set out under Item No. 1, is assented by the requisite majority of the Members by means of the Postal Ballot process, it shall be deemed to have been duly passed as a Special Resolution(s) at the General Meeting of the Company and it shall be deemed to have been passed on Sunday, 21st June, 2026, being the last date specified by the Company for e-voting.
The Resolution for the purpose as stated herein below is proposed to be passed by Postal Ballot/ Remote e-voting:
SPECIAL BUSINESS:
- Appointment of Ms. Reema Magotra (DIN: 09804839) as a Non-Executive and Independent Director of the Company.
To consider and, if thought fit, to pass, the following Resolution as a Special Resolution through Postal Ballot (Remote e-voting):
"RESOLVED THAT, pursuant to the provisions of Sections 149, 150 and 152 read with all other applicable provisions of the Companies Act, 2013, ('the Act') and the Companies (Appointment and Qualification of Directors) Rules, 2014, and the applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), including any statutory modification(s) or re-enactment(s) of the Act and Listing Regulations, and in terms of Articles of Association of the Company, Ms. Reema Magotra (DIN: 09804839), who was appointed as an Additional Non-Executive and Independent Director of the Company in the Board meeting dated 25th March, 2026 in terms of Section 161 of the Act and whose term of office expires as on this General Meeting and who qualifies for being appointed as an Independent Director and in respect of whom the Company has received a notice in writing under Section 160 of the Act from a member proposing her candidature for the office of Independent Director, be and is hereby appointed as a Non-Executive Independent Director of the Company, not liable to retire by rotation, to hold off for a term of 5 (five) consecutive years with effect from 25th March, 2026 to 24th March, 2031.
"RESOLVED FURTHER THAT, the Board be and is hereby authorized to do all such acts, deeds and things and execute all such documents, instruments and writings as may be required and to delegate all or any of its powers herein conferred to any Committee of Directors or Director(s) to give effect to the aforesaid resolution."

Notes:
a) The Statement pursuant to Section 102(1) and Section 110 of the Companies Act, 2013 ("Act") read together with Rule 22 of the Companies (Management and Administration) Rules, 2014 setting out material facts is annexed hereto and forms part of the Postal Ballot Notice ("Notice").
b) In accordance with the provisions of Section 110 the Act read with relevant rules made thereunder and the General Circular No. 03/2025 dated September 22, 2025 read with relevant circular(s) issued by the Ministry of Corporate Affairs, ("hereinafter collectively referred as MCA Circulars"), the Notice is being sent in electronic form only by email to those members whose names appear in the Register of Members/List of Beneficial Owners as received from Depositories i.e. National Securities Depository Limited ("NSDL")/ Central Depository Services (India) Limited ("CDSL") and Registrar and Share Transfer Agent of the Company i.e. Maheshwari Datamatics Private Limited ("RTA") as on 15th May, 2026 ("Cut-off Date").
c) Voting rights shall be reckoned in proportion to the paid-up equity shares registered in the name of the Member as on the Cut-Off date. Only those Members whose names are appearing in the Register of Members/ List of Beneficial Owners as on the Cut-Off Date shall be eligible to cast their votes through remote e-voting. A person who is not a Member on the Cut-Off Date should treat this Notice for information purposes only. It is however, clarified that all Members of the Company as on the Cut-Off Date (including those Members who may not have received this Notice due to non-registration of their e-mail addresses with the Company/ RTA/ Depositories) shall be entitled to vote in relation to the aforementioned Resolution in accordance with the process specified in this Notice.
d) In compliance with provisions of Section 108 and Section 110 and other applicable provisions of the Act, as amended, read together with the Rules 20 and 22 of Companies (Management and Administration) Rules, 2014 and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (hereinafter referred to as the "SEBI (LODR) Regulations"), Secretarial Standard on General Meetings ("SS-2") issued by the Institute of Company Secretaries of India, MCA Circulars and SEBI Circulars, the Company is pleased to offer remote e-voting facility to its Members. The Company has engaged the services of NSDL to provide remote e-voting facility to enable the Members to cast their votes electronically (hereinafter referred to as the "remote e-voting"). In accordance with the MCA Circulars and SEBI Circulars, physical copy of the Notice along with Postal Ballot Form and pre-paid business reply envelope will not be sent to the Members for this Postal Ballot. The communication of the assent or dissent of the Members would take place through the process of remote e-voting only.
e) Members may also note that the Postal Ballot Notice will be available for download on the Company's website at www.consecutiveinvestments.com, and on the website of stock exchange i.e. BSE Limited ("BSE"), at www.bseindia.com and Calcutta Stock Exchange Limited ("CSE") at www.cseindia.com the Notice of Postal Ballot shall also be available on website of NSDL at www.evoting.nsdl.com.
f) The remote e-voting period commences on Saturday, 23rd May, 2026 at 09.00 A.M. I.S.T. and ends on, Sunday, 21st June, 2026 at 05.00 P.M. I.S.T. The remote e-voting module shall be disabled by NSDL for voting thereafter. During this period, the Members of the Company holding shares in physical or electronic form, as on the Cut-Off Date, may cast their vote by electronic means in the manner and process as mentioned in this Notice. Once the vote is cast by the Member, the Member shall not be allowed to change it or cast the vote again.
g) The Board of Directors of the Company has appointed CS Jay Pandya, Proprietor of M/s. Jay Pandya & Associates, Company Secretaries, Ahmedabad, as the Scrutinizer for conducting the Postal Ballot through remote e-voting process, in a fair and transparent manner.
h) The Scrutinizer will submit his report to the Chairman of the Company or a person authorized by him in writing, after completion of the scrutiny of the remote e-voting. The Scrutinizer's decision on the validity of the votes cast will be final. The result of the Postal Ballot will be announced by the Chairman of the
Company on or before Tuesday, 23rd June, 2026, i.e. not later than two working days from the conclusion of remote e-voting at the Registered office of the Company.
i) The result of the Postal Ballot along with the Scrutinizer's Report will be placed on the website of stock exchanges i.e. BSE Limited ("BSE") at www.bseindia.com and Calcutta Stock Exchange Limited ("CSE") at www.cseindia.com.
j) The Resolution, if approved by the requisite majority of Members, shall be deemed to have been passed on the last date of remote e-voting, i.e., Sunday, 21st June, 2026.
k) Relevant documents relating to the Postal Ballot Notice and the Statement pursuant to Section 102 of the Act shall be made available for inspection by the Members in accordance with applicable statutory requirements based on requests received by the Company for inspection at [email protected] up to Sunday, 21st June, 2026.
General information and instructions relating to e-voting:
In compliance with the provisions of Sections 108, 110 and other applicable provisions of the Act, read with Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014, from time to time the MCA Circulars and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with Circular dated 9th December, 2020 issued by SEBI on E-voting facility provided by Listed Entities, Secretarial Standard on General Meetings (SS-2) issued by the Institute of Company Secretaries of India and any amendments thereto, Members are provided with the facility to cast their votes electronically, through the E-voting services provided by National Securities Depository Limited ('NSDL') on the Resolution set forth in this Notice of Postal Ballot, through Remote E-voting.
Members are requested to note that the Company is providing facility for Remote E-voting and the business is to be transacted through electronic voting system only.
The remote e-voting period begins on Saturday, 23rd May, 2026 at 09:00 A.M. (I.S.T) and ends on Sunday, 21st June, 2026 at 05:00 P.M. (I.S.T). The remote e-voting module shall be disabled by NSDL for voting thereafter. The Members, whose names appear in the Register of Members / Beneficial Owners as on the cut-off date i.e. Friday, 15th May, 2026, may cast their vote electronically. The voting right of shareholders shall be in proportion to their share in the paid-up equity share capital of the Company as on the cut-off date, being Friday, 15th May, 2026.
How do I vote electronically using NSDL e-Voting system?
The way to vote electronically on NSDL e-Voting system consists of "Two Steps" which are mentioned below:
Step 1: Access to NSDL e-Voting system
A) Login method for e-Voting for Individual shareholders holding securities in demat mode
In terms of SEBI circular dated December 9, 2020 on e-Voting facility provided by Listed Companies, Individual shareholders holding securities in demat mode are allowed to vote through their demat account maintained with Depositories and Depository Participants. Shareholders are advised to update their mobile number and email Id in their demat accounts in order to access e-Voting facility.

How to Log-in to NSDL e-Voting website?
- Visit the e-Voting website of NSDL. Open web browser by typing the following URL: https://www.evoting.nsdl.com/ either on a Personal Computer or on a mobile.
- Once the home page of e-Voting system is launched, click on the icon "Login" which is available under 'Shareholder/Member' section.
- A new screen will open. You will have to enter your User ID, your Password/OTP and a Verification Code as shown on the screen. Alternatively, if you are registered for NSDL eservices i.e. IDEAS, you can log-in at https://eservices.nsdl.com/ with your existing IDEAS login. Once you log-in to NSDL eservices after using your log-in credentials, click on e-Voting and you can proceed to Step 2 i.e. Cast your vote electronically.

b) If you are using NSDL e-Voting system for the first time, you will need to retrieve the 'initial password' which was communicated to you. Once you retrieve your 'initial password', you need to enter the 'initial password' and the system will force you to change your password.
c) How to retrieve your 'initial password'?
i. If your email ID is registered in your demat account or with the company, your 'initial password' is communicated to you on your email ID. Trace the email sent to you from NSDL from your mailbox. Open the email and open the attachment i.e. a .pdf file. Open the .pdf file. The password to open the .pdf file is your 8 digit client ID for NSDL account, last 8 digits of client ID for CDSL account or folio number for shares held in physical form. The .pdf file contains your 'User ID' and your 'initial password'.
ii. If your email ID is not registered, please follow steps mentioned below in process for those shareholders whose email ids are not registered
- If you are unable to retrieve or have not received the "Initial password" or have forgotten your password:
a) Click on "Forgot User Details/Password?"(If you are holding shares in your demat account with NSDL or CDSL) option available on www.evoting.nsdl.com.
b) Physical User Reset Password?" (If you are holding shares in physical mode) option available on www.evoting.nsdl.com.
c) If you are still unable to get the password by aforesaid two options, you can send a request at [email protected] mentioning your demat account number/folio number, your PAN, your name and your registered address etc.
d) Members can also use the OTP (One Time Password) based login for casting the votes on the e-Voting system of NSDL.
- After entering your password, tick on Agree to "Terms and Conditions" by selecting on the check box.
- Now, you will have to click on "Login" button.
- After you click on the "Login" button, Home page of e-Voting will open.
Step 2: Cast your vote electronically on NSDL e-Voting system.
How to cast your vote electronically on NSDL e-Voting system?
- After successful login at Step 1, you will be able to see all the companies "EVEN" in which you are holding shares and whose voting cycle.
- Select "EVEN" of company for which you wish to cast your vote during the remote e-Voting period.
- Now you are ready for e-Voting as the Voting page opens.
- Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on "Submit" and also "Confirm" when prompted.
- Upon confirmation, the message "Vote cast successfully" will be displayed.
- You can also take the printout of the votes cast by you by clicking on the print option on the confirmation page.
- Once you confirm your vote on the resolution, you will not be allowed to modify your vote.

- Institutional shareholders (i.e. other than individuals, HUF, NRI etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/ Authority letter etc. with attested specimen signature of the duly authorized signatory(ies) who are authorized to vote, to the Scrutinizer by e-mail to [email protected] with a copy marked to [email protected]. Item No. 1 – Appointment of Ms. Reema Magotra (DIN: 09804839) as a Non-Executive and Independent Director of the Company.
Pursuant to provisions of Section 161 of the Companies Act, 2013 and pursuant to the Articles of Association of the Company, the Board of Directors of the Company had appointed Ms. Reema Magotra (DIN: 09804839) as an Additional Non-executive and Independent Director of the Company with effect from 25th March, 2026. Ms. Reema Magotra is appointed as a Non-Executive and Independent Director on the Board of the Company.
The Company has received a declaration from Ms. Reema Magotra that she meets with criteria of independence as prescribed under Section 149 of the Companies Act, 2013. Ms. Reema Magotra is an accomplished education professional turned director, with a strong foundation in teaching, leadership, and organizational development. Experienced in blending people-centric leadership with modern teaching methodologies and operational excellence. Known for effective communication, ethical work practices, and the ability to drive engagement, learning outcomes, and sustainable growth. Brief resume of Ms. Reema Mangotra and nature of her expertise in specific functional areas and names of the Companies in which she holds directorships and memberships / chairperson of the Board / Committees and shareholding are provided in the annexure to the explanatory statement attached herewith.
In the opinion of the Board, Ms. Reema Mangotra fulfils the conditions specified in the Act and rules made thereunder for her appointment as an Independent Director of the Company.
Keeping in view of her experience and knowledge, the Board considers that her association would be of immense benefit to the Company and it is desirable to continue to avail the services of Ms. Reema Mangotra as an Independent Director.
Save and except Ms. Reema Mangotra and her relatives to the extent their shareholding in the Company, none of the Directors and Key Managerial Personnel of the Company and their relatives is concerned or interested, financially or otherwise, in the resolution set out at Item No. 1.
