Item 1.01 Entry into a Material Definitive Agreement.

On July 3, 2007, Comtech Telecommunications Corp’s. subsidiary, Comtech Mobile Datacom Corporation (“Mobile Datacom”), received a contract modification to its Movement Tracking System (“MTS”) contract with the U.S. Army. The modification principally (i) extends the contract ordering period through August 31, 2007, (ii) increases the MTS contract ceiling by $45 million from $418.2 million to $463.2 million, and (iii) adds additional line items to the MTS contract to allow the customer to procure from Mobile Datacom additional satellite-related services and new Mobile Datacom equipment.
