DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of Comtec Solar Systems Group Limited (the ‘‘Company’’) dated 3 January 2017 (the ‘‘Announcement’’) in relation to the Asset Transfer Agreement and the Proposed Disposal. Unless otherwise specified, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, the circular containing, inter alia, further information on the Asset Transfer Agreement and the Proposal Disposal was expected to be despatched no later than 24 January 2017. As additional time is required for finalising the contents of the circular (including the relevant valuation report to be included in the circular), it is expected that the despatch of the circular will be postponed to a date no later than 17 February 2017.
