ANNOUNCEMENT RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR

The board (the ‘‘Board’’) of directors (the ‘‘Directors‘‘, each a ‘‘Director’’) of Comtec Solar Systems Group Limited (the ‘‘Company’’) announces that Mr. Kang Sun resigned as an independent non-executive Director, member of the audit committee, nomination committee and remuneration committee of the Company with effect from 20 March 2021 due to the need to spend more time on his other personal commitments.

Mr. Kang Sun confirmed that he has no disagreement with the Board and there is no other matter relating to his resignation that needs to be brought to the attention of the holders of the securities of the Company or The Stock Exchange of Hong Kong Limited.

After Mr. Kang Sun’s resignation, the Company will appoint an independent non-executive Director as soon as practicable so as to comply with Rule 3.10 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and to fill the vacancies on the Board committees which Mr. Kang Sun was a member of prior to his resignation.

The Board takes this opportunity to express its appreciation to Mr. Kang Sun for his contribution to the Company during his tenure of office.
