SUPPLEMENTAL ANNOUNCEMENT IN RELATION TO THE 2020 ANNUAL REPORT — SUBSCRIPTION OF SHARES

Reference is made to the 2020 annual report published on 5 May 2021 (the “ 2020 Annual Report ”) by Comtec Solar Systems Group Limited (the “ Company ”). As disclosed in the 2020 Annual Report, the Company issued 104,885,179 new shares on 28 February 2020 pursuant to a subscription agreement dated 31 December 2019 (the “ Subscription ”), and raised net proceeds from the Subscription of HK$10,489,000. The net proceeds arising from the Subscription were intended to be used as general working capital of the Company and its subsidiaries. For details, please refer to the announcement of the Company dated 2 January 2020.

As at the date of the annual report, the net proceeds have been fully utilised as general working capital of the Company and its subsidiaries in the Hong Kong and PRC, covering administrative and daily operating expenses and settlement of trade and other payables incurred in prior year ended 31 December 2019 and during the year ended 31 December 2020 which including but not limited to staff cost (approximately HK$3,306,000), purchases of materials (approximately HK$2,802,000), legal and professional fees (approximately HK$1,228,000), finance cost (approximately HK$557,000), rental expenses (approximately HK$362,000), other operating expenses (approximately HK$1,034,000) and settlement of other payables which was outstanding as at 31 December 2019 (approximately HK$1,200,000).

The above additional information does not affect other information contained in the 2020 Annual Report and save for those disclosed above, all other information contained in the 2020 Annual Report remains unchanged.
