PROFIT WARNING

This announcement is made by the Comtec Solar Systems Group Limited (“the Company”, together with its subsidiaries, the “Group”) pursuant to Rule 13.09(1) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”).

The board of directors (the “Board”) of the Company wishes to inform the shareholders and potential investors of the Company that, despite an expected gross profit, the Company expects to record a loss for the year ended 31 December 2011 as compared to a profit recorded by the Company for the year ended 31 December 2010, primarily due to impairment losses recognised in respect of property, plant and equipment, impairment losses recognised in respect of advance to suppliers, and provisions for onerous contracts during the year of 2011. These impairment losses and provisions were mainly attributable to adverse changes in the market conditions, general over-capacity in the industry, and a decrease in the market prices of solar wafers and polysilicon.

This announcement is based on information that are currently available, which includes the unaudited management accounts of the Group for the year ended 31 December 2011, and is not based on the figures or information which has been audited or reviewed by the auditor of the Company and is subject to possible adjustments upon further review. The Company has yet to finalize the final results of the Group for the year ended 31 December 2011, which is expected to be published on or around 30 March 2012.
