COMPLETION OF SUBSCRIPTION OF NEW SHARES UNDER THE GENERAL MANDATE

Reference is made to the announcement (the ‘‘Announcement’’) of Comtec Solar Systems Group Limited (the ‘‘Company’’) dated 21 July 2017 in relation to the subscription agreement entered into by the Company and Advance Gain Limited (the ‘‘Subscriber’’) on 21 July 2017. Unless otherwise stated, terms defined in the Announcement shall have the same meanings when used in this announcement.

The Board is pleased to announce that all Conditions Precedent of the Subscription Agreement have been fulfilled and the Completion took place on 18 October 2017. Pursuant to the Subscription Agreement, an aggregate of 190,912,714 Subscription Shares have been allotted and issued to the Subscriber at the Subscription Price of HK$0.25 per Subscription Share. The Subscription Shares had been issued under the General Mandate.

Upon the Completion, the Subscriber owns 190,912,714 Subscription Shares, representing approximately 9.10% of the issued share capital of the Company as enlarged by the Subscription.
