CHANGE OF AUDITOR

This announcement is made by Comtec Solar Systems Group Limited (the ‘‘Company’’) pursuant to Rule 13.51(4) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

RESIGNATION OF AUDITOR

The board (the ‘‘Board’’) of directors (the ‘‘Directors’’) of the Company announces that Deloitte Touche Tohmatsu (‘‘Deloitte’’) has resigned as the auditor of the Company with effect from 17 December 2019, after taking into account certain factors including the level of audit fees and its available internal resources in the light of current work flows.

Deloitte has confirmed in its letter of resignation that there are no matters that need to be brought to the attention of the holders of securities or creditors of the Company. The Board and the audit committee of the Company (the ‘‘Audit Committee’’) have also confirmed that there are no disagreements or unresolved matters between the Company and Deloitte.

The Board further confirmed that Deloitte has not commenced any audit work on the consolidated financial statements of the Company for the year ending 31 December 2019. The Board believes that the change of auditor will not have any impact on the annual audit of the Company for the year ending 31 December 2019.

The Board would like to take this opportunity to express its sincere gratitude to Deloitte for its professional services rendered to the Company in the past years.

APPOINTMENT OF AUDITOR

The Board further announces that, with recommendation from the Audit Committee, Mazars CPA Limited has been appointed as the auditor of the Company with effect from 17 December 2019 to fill the casual vacancy following the resignation of Deloitte and to hold office until the conclusion of the next annual general meeting of the Company.

The Board has confirmed that it is not aware of any matters in relation to the change of auditor that need to be brought to the attention of the shareholders or creditors of the Company.
