NOTICE OF CHANGE OF AUDITORS

TO: Dale Matheson Carr-Hilton LaBonte LLP, Chartered Professional Accountants

AND TO: Stern & Lovrics LLP, Chartered Professional Accountants

TAKE NOTICE THAT:

• (a) Dale Matheson Carr-Hilton LaBonte LLP, Chartered Professional Accountants, located at 1500 - 1140 West Pender St., Vancouver, BC V6E 4G1, the former auditors of Sniper Resources Ltd. (the “ Corporation ”) tendered their resignation effective January 28, 2020, and the board of directors of the Corporation (the “ Board ”) has appointed Stern & Lovrics LLP, Chartered Professional Accountants, located at #302 – 1210 Sheppard Ave. East, Toronto, ON M2K 1E3, as successor auditors in their place, effective as of January 28, 2020;

• (b) the former auditors of the Corporation resigned at the Corporation’s request;

• (c) the resignation of Dale Matheson Carr-Hilton LaBonte LLP, Chartered Professional Accountants and the appointment of Stern & Lovrics LLP, Chartered Professional Accountants, in their place has been approved by the Board at the meeting dated January 28, 2020; and

• (d) there are no reportable events (as defined in section 4.11 (7) (e) of National Instrument 51- 102 – Continuous Disclosure Obligations ).
