MARKET ANNOUNCEMENT

22 December 2003

Computershare moves to full ownership of Deutsche Börse Computershare Gmbh

Computershare announced today that it has moved to full ownership of Deutsche Börse Computershare Gmbh, a provider of share registration and related services in Germany. The company will be renamed Computershare Gmbh.

Deutsche Börse Computershare was established in 2002 with Deutsche Börse owning 51% and Computershare owning 49%. Since then, it has performed credibly in the face of the very difficult market conditions that have prevailed in Germany.

Computershare normally operates via wholly owned subsidiaries and therefore offered to purchase Deutsche Börse's share in the venture.

Full ownership of the business will position Computershare to take maximum advantage of growth opportunities in Germany, and to get full leverage from the additional German presence provided by the Georgeson Shareholder Communications acquisition.
