SUPPLEMENTAL ANNOUNCEMENT

DISCLOSEABLE TRANSACTION RELATING TO THE DEEMED DISPOSAL

Reference is made to the announcement of China Aerospace International Holdings Limited (the “Company”) dated 20 April 2020 (the “Announcement”) in relation to the discloseable transaction (i.e. the Capital Increase Agreement) entered into between Aerospace Digitnexus with Ningbo Herui Zhihua and Shenzhen Info Bee. Capitalised terms used herein shall have the same meanings as those defined in the Announcement unless otherwise stated herein.

The Board of Directors would like to provide the following supplemental information in respect of the Announcement.

The selection of Ningbo Herui Zhihua and Shenzhen Info Bee was based on a public tender process conducted at the China Beijing Equity Exchange and they are the only bidders.

Ningbo Herui Zhihua

Based on public information available as of the date of this announcement, the Company understands that Ningbo Herui Zhihua is a partnership set up in the PRC and is co-owned by Ms Qu Ying (曲英) and China Partners (Shanghai) Equity Investment Fund Management Co., Ltd.* (中國合伙人（上 海）股權投資基金管理有限公司 ) (“China Partners”). China Partners is a limited liability company established in the PRC which is owned as to 55.56% by Shanghai Chuanrui Hongren Asset Management Center (Limited Partnership)* ( 上海川瑞宏仁資產管理中心（有限合伙） ) (“Shanghai Chuanrui Hongren”) and 44.44% by Tibet Deyin Fund Management Partnership Enterprise (Limited Partnership)* (西藏德音基金管理合伙企業(有限合伙)) (“Tibet Deyin Fund”). Shanghai Chuanrui Hongren is a partnership owned as to 0.004% by Shanghai Deyin Asset Management Co., Ltd.* (上海德音資產管理有限公司) and 99.996% by China Railway Trust Co., Ltd.* (中鐵信託有限責任公司) which is a subsidiary of China Railway Group Limited (中國中鐵 股份有限公司), a company currently listed on Shanghai Stock Exchange (stock code: 601390.SH) and The Stock Exchange of Hong Kong Limited (stock code: 00390). Tibet Deyin Fund is a partnership set up in the PRC which is co-owned by Mr Bi Hao (畢浩) and Mr Hu Hang (胡航).

Shenzhen Info Bee

Based on public information available as of the date of this announcement, the Company understands that Shenzhen Info Bee is a limited liability company established in the PRC and is co-owned by Mr Li Runtao (李潤韜) and Xian Info Bee Technology Company Limited*(西安訊蜂科技有限公司) which is a limited liability company established in the PRC and is wholly-owned by Mr Li Yue (李 玥).

To the best of the Directors’ knowledge, information and belief having made all reasonable enquiries, Ningbo Herui Zhihua and Shenzhen Info Bee and their respective ultimate beneficial owners are not connected persons of the Company and thus they are Independent Third Parties.
