ANNOUNCEMENT CHANGE IN DIRECTORSHIPS

The Board of Directors of China Aerospace International Holdings Limited (the “Company”) announces that, with effect from January 15, 2004, Mr. Guo Xianpeng has been appointed as Executive Director of the Company and Mr. Zhang Tao has resigned as Executive Director of the Company.

The Board takes this opportunity to express its warm welcome to Mr. Guo Xianpeng for the new appointment and its appreciation to Mr. Zhang Tao for the valuable contributions to the Company during his tenure of services.
