ANNOUNCEMENT

The Board of Directors of China Aerospace International Holdings Limited (the "Company") announces that for the reason of posting arrangement of its major shareholder, China Aerospace Science & Technology Corporation, Executive Director and Acting Chairman, Mr. Liang Wenhao, Executive Director and Acting President, Mr. Chen Shukang, Executive Director and Standing Vice President, Mr. Gong Hanbing and Non-Executive Directors, Mr. Li Baoan and Mr. Wang Guolin have resigned their directorship and administrative designations of the Company; and that Mr. Lu Xiaochun was appointed as Executive Director of the Company, Mr. Charles Chow was appointed as Independent Non-executive Director and Messrs. Rui Xiaowu, Li Jinsheng, and Xu Shilong were appointed as Non-Executive Directors of the Company.

According to the resolutions of the Board of Directors of the Company made on 18th April, 2000, Executive Director, Mr. Lu Xiaochun was appointed as Chairman of the Board of Directors of the Company and Executive Director, Mr. Wang Yanguang was appointed as President of the Company.

The effective date of all the above changes fall on 18th April, 2000.

Mr. Lu Xiaochun, aged 39, graduated from Beijing University of Aeronautics and Astronautics where he obtained a bachelor degree. He had been an Engineer, Senior Engineer and then Director of Research Institute of the General Design Department of Shanghai Aerospace Bureau. Mr. Lu had studied in Fachhochschule Heilbonn of Germany as Visiting Scholar. Since 1993, he served, in chronological order, as a Deputy Director of Pre-Research Division, Assistant to President of Shanghai Aerospace Bureau, Vice Chairman of Shanghai Aerospace Corporation, and Research Fellow and Vice President of Shanghai Aerospace Bureau. He was responsible for the scientific research and production of Shanghai Aerospace Bureau. Mr. Lu possesses seventeen years of experience in managing and operating high-tech industries. In addition, Mr. Lu is also a part-time professor of Beijing University of Aeronautics and Astronautics and a Standing Committee Member of the Shanghai Aeronautics Society.

Mr. Wang Yanguang was previously Executive Director and Vice President of the Company.

The Board of Directors welcomes the joining of Messrs. Lu Xiaochun,Charles Chow, Rui Xiaowu, Li Jinsheng, and Xu Shilong.

The Board of Directors wishes to extend its sincere appreciation to Messrs. Liang Wenhao, Chen Shukang, Gong Hanbing, Li Baoan and Wang Guolin for their contributions, especially the hard working and overcoming of various difficulties arose from the financial turmoil in Asia, towards the stable development of the Company during their tenure of office.
