TRANSFER AND CANCELLATION OF DEFERRED SHARES,

TOTAL VOTING RIGHTS AND CAPITAL

The Company announces that, in accordance with the provisions of its articles of association, 228,443,966 deferred shares, being all of the outstanding deferred shares held by deferred shareholders in connection with the return of value in 2013 and the return of value in 2015, have been transferred to the Company for nil consideration and cancelled on 13 December 2018. The Company also announces that the 64,500,230 deferred shares held in treasury have been cancelled by the Company on 13 December 2018.

The Company announces in accordance with DTR 5.6.1 that as at 13 December 2018 the Company's issued share capital consists of 122,687,970 ordinary shares with a nominal value of 7 5/9 pence, each carrying one voting right. 8,546,861 of these ordinary shares are held in treasury.

Therefore, the total number of voting rights in the Company which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules is 114,141,109.
