On October 19, 2017, Compugen Ltd. (the “ Company ”) held a Special General Meeting of Shareholders (the “ Meeting ”). The proxy statement for the Meeting was filed by the Company with the Securities and Exchange Commission as an exhibit to its Report on Form 6-K on September 6, 2017 (File No. 000-30902) and is incorporated herein by reference. Proposals 1 and 2 have been approved by the shareholders; Proposal 3 was not approved by the shareholders.
