On March 5, 2014, Compugen Ltd. (the “Company”) issued a press release announcing the closing of its previously announced underwritten public offering of 6,900,000 ordinary shares, including 900,000 shares sold pursuant to the full exercise of the underwriters’ option to purchase additional shares, at a price to the public of $10.50 per share. The Company’s press release is filed as Exhibit 99.1 to this Report and is incorporated herein by reference.
