The Board of Directors of Componenta Corporation decided to issue a subordinated capital loan
The Board of Directors of Componenta Corporation decided to issue a subordinated capital loan referred to in the Limited Liability Companies Act, for subscription by a limited group of selected investors. The company intends to use the assets to be obtained with the capital loan for strengthening the company's balance sheet and financial position.
The amount of the Subordinated Capital Loan 2010 is EUR 23,400,000. The rate of issue of the loan is 100%, and the annual fixed interest to be paid on the principal of the loan is 10.00%. The maturity of the loan is five years. The loan does not include a right to exchange shares.
The Board of Directors has accepted the subscriptions of the loan. The holders of the Company's capital loan 2006 and convertible capital loan 2006 have the right to use the assets pertaining to the principal of the capital loans receivable from the Company to pay the subscription price of the loan units of the Subordinated Capital Loan 2010. After the payment of subscriptions, the remaining amount of the Company's capital loan 2006 is EUR 2,896,000 and convertible capital loan 2006 EUR 2,331,000.
