Takeover Offer free of all conditions

Complii FinTech Solutions Limited (ASX: IAM) (Complii) (Previously named Intiger Group Limited) is pleased to announce that it has declared its off-market takeover offers (Offer) for all of the ordinary shares in Complii Limited (Previously named Complii FinTech Solutions Ltd) free from all defeating conditions.

As set out in the results of the shareholder meeting announced today, Intiger’s shareholders approved all of the ‘Essential Resolutions’ (as defined in the bidder’s statement which was lodged with the Australian Securities & Investments Commission on 2 November 2020) at its shareholder meeting which was held today, satisfying the last defeating condition to the Offer.

Accordingly, the Company expects to complete the acquisition of Complii Limited shortly and have its shares reinstated to trading on ASX shortly thereafter.

The Company is currently actively working with the ASX to achieve reinstatement of its securities.
