Nature of the transaction

Grant of a Deferred Bonus Share Award under the Compass Group PLC  Long Term Incentive Plan 2018. The Award represents one-third of Mr Brown's annual bonus for financial year ended 30 September 2021.  The Award will vest on the third anniversary of the grant, subject to Mr Brown remaining employed by the Company on vesting or being considered a good leaver under the rules of the Plan. Dividends paid by the Company between the date of grant and vesting of the Award will accrue and be released as Shares at vesting.
