COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares").

1. Long Term Incentive Plan Release

Following satisfaction of 85% of the Total Shareholder Return, 78% of the Adjusted Free Cash Flow and 74% of the Return on Capital Employed performance conditions in the three years ended 30 September 2015, awards made on 12 February 2013 under The Compass Group Long Term Incentive Plan 2010 ("LTIP") vested at 79% and the following Shares were released and issued on 25 November 2015:
