COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares").

1. Long Term Incentive Plan Release

Following satisfaction of 100% of both of the Adjusted Free Cash Flow and Total Shareholder Return performance conditions in the three years ended 30 September 2014, Awards made on 25 November 2011 under The Compass Group Long Term Incentive Plan ("LTIP") vested and the following Shares were released and issued on 27 November 2014:

The Shares noted below were sold on 28 November 2014 at 1064.2037 pence per Share in order to realise sufficient funds to settle resultant tax and social security liabilities arising from such issue:

A further 182,810 Shares were disposed by Mr Cousins, 83,069 Shares by Mr Martin, 44,907 Shares by Mr Furlong, 22,928 Shares by Miss Kingston and 51,223 Shares by Mr White, all at the same time and at the same price.

2. Disposal of Shares

On 28 November 2014, Mr Martin and Mr Green, both Directors, sold 111,764 Shares and 150,000 Shares respectively at a price of 1064.2037 pence per Share.
