COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

1.  Long-Term Incentive Plan:  2013/14 Award

On 29 November 2013, an award was made under The Compass Group PLC Long Term Incentive Plan 2010 ("Plan") to the Directors and PDMRs detailed below:

The number of Shares shown is the maximum available if the corporate performance conditions for the period, which commenced on 1 October 2013 and ends on 30 September 2016, are satisfied in full.  There will be no retesting of the award.

Under the Plan rules, participants may become entitled to Shares if the Company satisfies stringent corporate performance targets based upon Total Shareholder Return relative to companies in the FTSE 100 index (excluding its financial services constituents), Adjusted Free Cash Flow and Return on Capital Employed; each target relating to one-third of an award.  

2.  Long-Term Incentive Plan Release

Following satisfaction of 100% of the Adjusted Free Cash Flow and 96.1% of the Total Shareholder Return performance conditions in the three years ended 30 September 2013, Awards made on 25 November 2010 under The Compass Group Long-Term Incentive Plan ("LTIP") vested and the following Shares were released and issued on 29 November 2013:

The Shares noted below were sold on 29 November 2013 at 928.4777 pence per Share in order to realise sufficient funds to settle resultant tax and social security liabilities arising from such issue:

A further 82,632 Shares were disposed by Mr Cousins, 74,368 Shares by Mr Martin,

3.  Disposal of Shares

On 29 November 2013, Gary Green sold 300,000 Shares at a price of 928.4777 pence per Share.  

4.  Resultant Shareholdings

Following the transactions detailed above, total interests in Shares for the Directors and PDMRs noted above are as shown below:
