NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Compass Group PLC (the "Company") announces the following changes in the interests of Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares"):

On 14 December 2016, Mr Richard Cousins, Chief Executive Officer, sold 200,000 Shares at a price of 1371.2266 pence per Share.

Following this disposal, Mr Cousins' shareholding over 1,015,815 Shares represents 0.062% of the Company's issued share capital (excluding treasury shares). In addition, Mr Cousins holds 653,259 awards over Shares pursuant to the Company's Long Term Incentive Scheme.
