PDMR SHAREHOLDINGS

Compass Group PLC (the "Company") announces the following changes in the interest of a Person Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares").

Restricted Share Award (RSA) 2013/14 release:

Following satisfaction of the associated performance conditions, 20,000 RSA Shares were released to Alfredo Ruiz Plaza, a PDMR and issued on 2 December 2016.

All the released shares were subsequently sold on 2 December 2016 at 1310.9609 pence per Share.

Mr Ruiz Plaza's shareholding therefore remains unchanged at 75,769 Shares equating to 0.00461 percent of the issued share capital (excluding treasury shares).
