COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS
Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares").
Deferred Annual Bonus 2013/14 release:
Following satisfaction of the associated performance conditions the following Shares were released and issued on 29 November 2016:

The 2013/14 Deferred Annual Bonus awards were made to Messrs Thomson, Ruiz Plaza and van Dyck prior to them becoming a Director or PDMRs.
The Shares noted below were sold on 29 November 2016 at 1384.2949 pence per Share in order to realise sufficient funds to settle resultant tax and social security liabilities arising from such issue:
