COMPASS GROUP PLC: DIRECTOR/PDMR SHAREHOLDINGS

Compass Group PLC (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares").

1. Long Term Incentive Plan Release

Following satisfaction of 100% of the Total Shareholder Return, 92.7% of the Adjusted Free Cash Flow and 60.7% of the Return on Capital Employed performance conditions in the three years ended 30 September 2016, awards made on 29 November 2013 under The Compass Group Long Term Incentive Plan 2010 ("LTIP") vested at 84.5% and the following Shares were released and issued on 23 November 2016:

The Shares noted below were sold on 23 November 2016 at 1353.0862 pence per Share in order to realise sufficient funds to settle resultant tax and social security liabilities arising from such issue:

A further 35,578 Shares were disposed by Blakemore, 95,422 Shares by Mr Cousins, 54,707 Shares were disposed by Mr Green and 26,510 Shares by Mr White, all at the same time and at the same price, 1353.0862 pence per Share.  Messrs Thomson, Mills and Ruiz Plaza retained their balancing Shares consisting of 32,365, 2,910 and 4,855 Shares respectively.
