NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Compass Group PLC (the "Company") announces the following changes in the interests of Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 5/8 pence each in the share capital of the Company ("Shares"):

Mr Philippe Op de Beeck, a PDMR responsible for the Asia Pacific region notified the Company today that on 23 February 2015 he received an additional 54 Shares through the Company's Dividend Reinvestment Plan ("DRIP") at 1147.46 pence each per Share.

Following this transaction, Mr Op de Beeck's shareholding has increased to 46,186 Shares, representing 0.00277% of the Company's issued share capital.

On 26 February 2015, Mr Johnny Thomson a PDMR and Regional Managing Director for Latin America exercised 91,387 options over Shares. 43,887 Shares were acquired at 319.00 pence each, 28,500 Shares were acquired at 557.50 pence each and 19,000 Shares were acquired at 575.00 pence each. All Shares resulting from such exercise were sold on 26 February 2015 at 1134.489 pence each per Share.
