The 2021 Annual General Meeting (the Meeting) (the AGM) of Compass Group PLC (the Company) will be held at Compass House, Guildford Street, Chertsey, Surrey KT16 9BQ on Thursday 4 February 2021 at 10.00 am. Please note that due to COVID-19 regulations, the Meeting is a closed meeting. SHAREHOLDERS AND PROXIES (OTHER THAN THE CHAIRMAN OF THE MEETING) SHOULD NOT ATTEND THE AGM IN PERSON, AND ANYONE ATTEMPTING TO DO SO WILL BE REFUSED ENTRY. Online Meeting – joining instructions
We are making an electronic facility available for the AGM, giving you the opportunity to participate in the AGM online in place of our usual shareholder meeting which we are unable to hold due to COVID-19 social distancing measures and restrictions on public gatherings. If you choose to participate online you will be able to view a live webcast of the Meeting, using your smartphone, tablet or computer, and there will be an opportunity to ask the Board questions. Notes

- A shareholder entitled to attend and vote at the AGM may appoint a proxy or proxies (who need not be a shareholder of the Company) to exercise all or any of his or her rights at the AGM. Where more than one proxy is appointed, each proxy must be appointed for different shares. As shareholders will not be able to attend the Meeting in person this year, to ensure their votes are counted, shareholders are strongly encouraged to appoint the Chairman of the Meeting as their proxy. Any other person appointed as a proxy will be refused entry to the AGM. Please indicate by ticking the box provided if the instruction is one of multiple instructions being given. All forms must be signed and should be returned together in the same envelope.

- For each Resolution, please indicate with an 'X' in the box provided how you wish to vote. If you fail to select any of the given options on a particular Resolution, the proxy will vote or abstain as he/she thinks fit in respect of your shareholding. - In the case of joint shareholders, the signature of any of them will suffice, but the names of all joint holders should be shown, and the vote of the senior holder who tenders a vote whether by proxy shall be accepted to the exclusion of the votes of the other joint holder(s) and for this purpose seniority shall be determined by the order in which the names stand in the Register of Members in respect of the joint holding.

- A corporation may appoint more than one corporate representative provided that they do not exercise their powers differently in relation to the same shares. A corporation's Form of Proxy must be executed under the company seal, if any, or signed by a duly authorised officer (stating the officer's capacity).

- Completion and return of the Form of Proxy will not preclude you from joining the online meeting. Please make sure you retain the detachable top half of the Form of Proxy meeting card which provides details of how to join the online meeting.

- The 'Vote Withheld' option is provided to enable you to abstain on any particular Resolution. It should, however, be noted that it is not a vote in law and will not be counted in the proportion of the votes 'For' and 'Against' a Resolution.
